Incorrect information has been circulating around the State indicating MCA no longer exists. That is NOT true. MCA continues to function just as before. The confusion began at the Governing Council (GC) meeting on December 12, 2014, when it was announced that MCA had lost its standing with the State and the IRS. While this is partially correct, MCA still is a viable organization. Please continue reading for further explanation.
In 2012, MCA changed its PO Box number in the Detroit area due to the move of our headquarters. From that point on, mail was not forwarded to the new PO Box. As a result, our past treasurer did not file paperwork with the State indicating MCA was still an entity. I have contacted LARA (the Licensing and Regulatory Affairs agency) and discovered that the paperwork had not been filed since 2012. According to the LARA representative I spoke to, this is not an unusual circumstance and easily remedied. Our treasurer, Nick Erber, will file the paperwork this week and we will once again be in "good standing" with the State. According to a past President of MCA, this has happened in the past but has never been a serious issue and is easily rectified by filing the paperwork.
The second issue that was brought up at the GC meeting was that the IRS no longer recognized MCA as a 501(c)6 organization. I contacted our CPA who verified that MCA does exist with the IRS and we have the same tax ID number we have had since becoming a non-profit organization. The CPA forwarded verification to me and the treasurer.
Third, in order to dissolve MCA, there must be a vote by the membership to dissolve, the minutes must include this decision, all assets are to be distributed as afforded by the law, and the dissolution paperwork must be submitted to the State and the IRS. This was NOT done at the December 12, 2014, meeting. The members of the Executive Board (EB) cannot unilaterally make that decision without following the above mandates.
It is unfortunate that incorrect information was shared at the GC meeting, but rest assured MCA is still a non-profit organization functioning as a branch of the Mid-West Region of the American Counseling Association.
